Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the JustAPI website, dashboard, APIs, model routing services, and related products and services (collectively, the “Services”).

JustAPI is operated by Parallaxis Co., Limited, a company incorporated in Hong Kong with its registered office at Room 1106, Santai Building, 138 Connaught Road Central, Sheung Wan, Hong Kong (“JustAPI,” “we,” “us,” or “our”).

By creating an account, purchasing or adding funds, accessing an API, or otherwise using the Services, you agree to these Terms and our Privacy Policy and Acceptable Use Policy. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Services.

1. The Services

JustAPI provides developers and businesses with unified API access to artificial intelligence models and related infrastructure.

Depending on the model and route selected, the Services may provide access to:

• third-party AI models and services;
• independently hosted or operated model infrastructure;
• multiple routes or infrastructure providers for the same or similar models;
• text, image, video, audio, multimodal, and other AI capabilities; and
• supporting services such as model discovery, routing, monitoring, usage reporting, and API management.

Available models, providers, routes, capabilities, pricing, rate limits, latency, context limits, availability, and other technical characteristics may change over time.

Unless expressly stated otherwise, JustAPI does not guarantee that any particular model, provider, route, feature, or version will remain available.

2. Independent Service and Third-Party Models

JustAPI is an independent API infrastructure platform.

The Services may provide access to models, technologies, products, or services developed or operated by third parties.

Names, trademarks, logos, model names, and other identifiers belonging to third parties are used for identification and compatibility purposes only.

Unless expressly stated otherwise, the availability of a third-party model through JustAPI does not imply that JustAPI is affiliated with, sponsored by, endorsed by, or officially partnered with the relevant model developer or provider.

Third-party models and services may be subject to their own technical limitations, acceptable use requirements, intellectual property policies, or other terms. You are responsible for using such models in compliance with applicable requirements.

3. Accounts

You may be required to create an account to use some or all of the Services.

You agree to:

• provide accurate and current account information;
• maintain the confidentiality of your login credentials and API keys;
• use reasonable security measures to prevent unauthorized access;
• promptly revoke or rotate credentials that may have been compromised; and
• promptly notify us if you become aware of unauthorized use of your account.

You are responsible for activity performed through your account and API credentials to the extent permitted by applicable law.

You may not create or use multiple accounts to circumvent restrictions, rate limits, enforcement actions, pricing rules, promotional limits, or other platform controls.

4. API Keys and Security

API keys are confidential credentials and must be protected accordingly.

You should not expose API keys in public repositories, client-side applications, public websites, shared documents, or other locations accessible to unauthorized parties.

We may suspend, revoke, rotate, or restrict an API key if we reasonably believe that it:

• has been compromised;
• is being used fraudulently;
• presents a security risk;
• violates these Terms or our Acceptable Use Policy; or
• may cause harm to JustAPI, our infrastructure, our providers, or other users.

5. Pricing and Billing

Unless otherwise stated, prices displayed by JustAPI are denominated in United States dollars (USD).

JustAPI generally charges based on actual API usage. Depending on the model, charges may be calculated using factors such as:

• input or output tokens;
• generated images;
• video duration or resolution;
• audio duration;
• compute usage;
• API requests; or
• other model-specific usage units.

The applicable price is the price presented by JustAPI for the relevant model or route at the time the request is processed, unless a separate written agreement applies.

Prices may change due to changes in upstream provider pricing, infrastructure costs, exchange rates, market conditions, taxes, or other operational factors.

You are responsible for reviewing current pricing before using the Services.

Where JustAPI displays comparisons with third-party provider prices, such comparisons are based on publicly available pricing information or other identified reference pricing at the time of comparison. Actual savings vary by model, route, configuration, usage pattern, and changes in third-party pricing.

6. Prepaid Balance

Certain Services may require you to maintain a prepaid account balance.

Funds added to your JustAPI account may be used to pay for eligible API usage and other Services.

Your available balance is not a bank account, deposit account, stored-value banking product, or investment product, and no interest is paid on account balances.

Except where required by applicable law or expressly stated otherwise, balances:

• are intended solely for purchasing JustAPI Services;
• may not be transferred between users or accounts;
• may not be resold or exchanged for cash; and
• are subject to applicable refund terms in Section 8.

Promotional balances, bonuses, coupons, or complimentary amounts may be subject to separate conditions and may be non-refundable.

7. Taxes

Prices may exclude taxes unless otherwise indicated.

You are responsible for any sales, use, value-added, withholding, or similar taxes applicable to your purchase or use of the Services, except for taxes imposed on JustAPI’s net income.

Where required by law, applicable taxes may be added to your payment.

8. Refunds

Because API requests may result in immediate and irreversible third-party model, computing, bandwidth, or infrastructure costs, fees for API usage that has already been successfully processed are generally non-refundable, except where required by applicable law.

If you believe you were incorrectly charged because of a verified technical or billing error attributable to JustAPI, contact us at contact@justapi.ai with relevant request IDs and transaction information.

We will review eligible requests on a case-by-case basis.

Unused prepaid balances may be eligible for a refund where required by applicable law or where JustAPI expressly approves the refund. Any refund may be reduced by:

• amounts already consumed through the Services;
• non-refundable third-party processing charges where permitted by law;
• chargebacks or payment disputes;
• promotional or complimentary balances; and
• other amounts that are not eligible for refund.

Promotional credits, bonuses, coupons, trial amounts, and other complimentary balances have no cash value and are non-refundable unless required by law.

Nothing in this section limits any non-waivable refund or consumer rights you may have under applicable law.

9. Payment Disputes and Chargebacks

If you believe a payment was unauthorized or incorrect, please contact us before initiating a chargeback where reasonably possible so that we can investigate the issue.

We may temporarily suspend an account, restrict API access, or freeze the associated remaining balance while investigating suspected fraud, unauthorized payments, chargebacks, or payment disputes.

Submitting a fraudulent chargeback or knowingly providing false information regarding a transaction may result in account suspension or termination.

Nothing in this section limits rights provided by your payment provider or applicable law.

10. Acceptable Use

You must comply with our Acceptable Use Policy and all applicable laws and regulations when using the Services.

You may not use the Services to:

• engage in unlawful activity;
• facilitate fraud, phishing, scams, or deceptive practices;
• distribute malware or malicious code;
• gain unauthorized access to systems, networks, accounts, or data;
• violate intellectual property, privacy, publicity, or other legal rights;
• circumvent security, safety, usage, or access controls;
• interfere with the operation or integrity of the Services; or
• use the Services in any manner prohibited by our Acceptable Use Policy.

We may investigate suspected violations and take reasonable enforcement action where necessary.

11. Customer Content

“Customer Content” means prompts, inputs, files, images, audio, video, instructions, data, and other materials you submit to the Services, together with outputs generated specifically in response to your requests where applicable.

As between you and JustAPI, you retain your rights in Customer Content, subject to applicable law and any rights of third parties.

You grant JustAPI a limited right to process Customer Content solely as reasonably necessary to:

• provide the Services;
• route requests to selected infrastructure or model providers;
• maintain security and prevent abuse;
• troubleshoot technical problems;
• comply with applicable law; and
• perform other processing described in our Privacy Policy.

You represent that you have the rights and permissions necessary to submit Customer Content and use the Services in connection with that content.

12. AI Outputs

Artificial intelligence models are probabilistic technologies and may produce inaccurate, incomplete, offensive, unexpected, or otherwise unsuitable outputs.

You are responsible for evaluating outputs before relying on, publishing, distributing, or using them.

You should not rely solely on AI-generated output for decisions where errors could materially affect a person’s legal rights, health, safety, financial interests, employment, or other high-impact interests without appropriate human review and any safeguards required by law.

JustAPI does not guarantee that AI-generated outputs will be:

• accurate;
• unique;
• complete;
• suitable for a particular purpose;
• free from third-party claims; or
• available for exclusive use.

Different users may receive identical or similar outputs.

13. Intellectual Property

The Services, including the JustAPI website, software, interfaces, documentation, branding, and original platform content, are owned by or licensed to JustAPI and are protected by applicable intellectual property laws.

These Terms do not grant you ownership of JustAPI’s intellectual property.

Subject to these Terms, JustAPI grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for lawful purposes.

Third-party model names, trademarks, and other intellectual property remain the property of their respective owners.

14. Service Availability

We work to provide reliable Services, but AI models and infrastructure may depend on third-party systems outside our control.

The Services may occasionally experience:

• downtime;
• increased latency;
• capacity limitations;
• rate limiting;
• model errors;
• provider outages;
• maintenance;
• routing changes; or
• temporary or permanent model unavailability.

Any uptime, latency, availability, savings, or performance metric displayed on our website is subject to the qualifications stated with that metric and does not constitute a service-level guarantee unless expressly included in a separate written service-level agreement (“SLA”).

15. Changes to Models and Routes

We may add, modify, replace, restrict, suspend, or discontinue models, routes, providers, APIs, or other features.

Where reasonably possible, we may provide notice of material changes that are likely to significantly affect existing integrations, but emergency, security, provider-driven, or technical changes may occur without advance notice.

You are responsible for designing integrations with appropriate error handling, retries, fallbacks, monitoring, and other safeguards suitable for your use case.

16. Suspension and Termination

We may suspend or restrict your access to the Services where we reasonably believe that:

• you have materially violated these Terms or our Acceptable Use Policy;
• your account is associated with fraud, abuse, unauthorized payments, or security threats;
• your use presents a material risk to our systems, providers, other users, or third parties;
• suspension is required by law or a valid legal request; or
• payment obligations are overdue.

Where appropriate and reasonably practicable, we may provide notice and an opportunity to resolve the issue.

You may stop using the Services at any time.

Sections that by their nature should survive termination, including provisions relating to payments, intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution, will survive termination.

17. Privacy and Data Processing

Our collection and processing of personal information is described in our Privacy Policy.

Because some requests may be routed through third-party or geographically distributed infrastructure, Customer Content and technical data may be processed in jurisdictions other than your own.

You are responsible for determining whether the Services are appropriate for the data you submit and for complying with applicable privacy, data protection, localization, and sector-specific requirements.

Do not submit highly sensitive, regulated, or legally restricted information unless the selected service, route, and applicable agreement expressly support such processing.

18. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

JustAPI disclaims all warranties not expressly stated in these Terms, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

We do not warrant that:

• every model or provider will always be available;
• the Services will be uninterrupted or error-free;
• AI outputs will be accurate or suitable for your intended use;
• third-party services will continue to operate under their current terms; or
• the Services will meet every legal, regulatory, or technical requirement applicable to your particular use case.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

19. Limitation of Liability

To the maximum extent permitted by applicable law, JustAPI and Parallaxis Co., Limited will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or data arising from or relating to the Services.

20. Indemnification

To the extent permitted by applicable law, if you use the Services for business or commercial purposes, you agree to indemnify and hold harmless Parallaxis Co., Limited and its directors, officers, employees, contractors, and affiliates from third-party claims, damages, losses, liabilities, and reasonable expenses arising from:

• your unlawful use of the Services;
• your material violation of these Terms or the Acceptable Use Policy;
• Customer Content you submit through the Services; or
• your infringement of third-party rights.

21. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Services, laws, regulations, security requirements, provider relationships, or business practices.

When we make material changes, we will update the “Last Updated” date and, where required by applicable law, provide additional notice.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

22. Governing Law and Disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles.

The parties should first attempt in good faith to resolve any dispute arising from or relating to these Terms or the Services through direct communication.

If a dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the courts of Hong Kong, unless applicable law gives you a non-waivable right to bring proceedings in another jurisdiction.

Nothing in these Terms limits any mandatory consumer protection rights that apply to you.

23. General Terms

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

Our failure to enforce a provision of these Terms does not constitute a waiver of that provision.

You may not assign these Terms without our prior written consent, except where applicable law provides otherwise. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of the relevant business or assets.

These Terms, together with the Privacy Policy, Acceptable Use Policy, and any applicable written service agreement, constitute the agreement between you and JustAPI regarding the Services.
